Mr. DAI Genyou

Independent Non-executive Director

Mr. Dai has more than 38 years of working experiences in the financial industry, including 25 years of managerial experiences. His main working experiences include: working as Vice President of Anqing Branch of the People’s Bank of China, Director of the No.1 Economic Analysis Center of the Investigations & Studies Office f the People’s Bank of China, Director of Economic Analysis Center and Deputy Director of the Investigations & Statistics Bureau of the People’s Bank of China from 1983 to 2010. He also served on the following posts: Deputy Chief of Finance & Trade Group of the Finance & Economy Leading Group Office of the CPC Central Committee, Deputy Director and Inspector of the Investigations & Statistics Bureau of the People’s Bank of China, Director of Monetary Policy Department of the People’s Bank of China and Secretary-General of Monetary Policy Committee, Director of the Credit Management Bureau of the People’s Bank of China and Director of Credit Center of the People’s Bank of China. In April 2010, Mr. Dai became an Independent Non-executive Director of Shanghai Zhangjiang High-Tech Park Development Co., Ltd (a Shanghai Stock Exchange-listed company primarily engaged in real estate development and operations and investment in high-tech sectors). Mr. Dai received his bachelor’s degree in Political Economy from Anhui Labor University (predecessor of Anhui University) in September 1977 and his Senior Economist title from the People’s Bank of China in May 1989. He became a State Council-Subsidized Expert in October 2000.

Mr. WANG Shihao

Independent Non-executive Director

Mr. Wang has more than 34 years of working experiences in the financial industry. His main working experiences include: working as Clerk, Section Chief, Deputy Director and Director of Shanghai Branch of the People’s Bank of China from February 1979 to December 1990; working as President of Shanghai Urban Credit Cooperative from February 1991 to December 1995; working as Vice President of Bank of Shanghai from December 1995 to August 2010; working as Chairman of the Executive Committee of the Funds & Clearing Center of Shanghai Urban Commercial Bank starting from September 2002; working as Visiting Professor of National Accounting Institute, Shanghai Jiaotong University, Fudan University and Shanghai University of Finance & Economics from 2010 to 2013. In March 2008 he was hired by Shanghai Municipal People’s Government as a Consulting Expert; in May 2012, he became an independent director of Shanghai Jinfeng Investment Co., Ltd (a Shanghai Stock Exchange-listed real estate service company). Mr. Wang graduated as a Financial Management major from Fudan University in 1984. He later received his master’s degree in Economics from East China Normal University in February 1994 ad his MBA degrees from Shanghai Jiaotong University and University Konstanz in Germany in July 1998. He received his EMBA certificate from Shanghai National Accounting Institute and MAB degree from University of Arizona in the US in June 2005. Mr. Wang received his Senior Economist title from the People’s Bank of China in July 1993.

Mr. ZHAG Shenghuai

Independent Non-executive Director

Mr. Zhang has been practicing law in the capital market for more than 16 years. His main experiences include: working as a Senior Partner of Beijing Tianyin Law Firm starting from December 2002 and member of the 9^th Issuance & Appraisal Committee of China Banking Regulatory ComMadamion in May 2007. On September 5, 2012, Mr. Zhang became an Independent Director of Beijing Haohua Energy Co., Ltd (a coal mining company listed at Shanghai Stock Exchange); on December 27, 2012, he became an Independent Director of Beijing Trust & Far Technology Co., Ltd (a IT infrastructure and service provider listed at Shenzhen Growth Enterprise Market). Mr. Zhang received his bachelor’s degree in Law from Southwest University of Political Science & Law in July 1983, his master’s degree in Law from China University of Political Science & Law in July 1988 and his PhD degree in Law from Renmin University in June 2006. Mr. Zhang received his China Lawyer qualification certificate from the Ministry of Justice of the People’s Republic of China on June 2, 1997.

Mr. WEN Jinghui

Independent Non-executive Director

Mr. Wen has more than 20 years of working experiences in the accounting field. His main working experiences include: joining Reanda Certified Public Accounts Co., Ltd in April 1998 to serve as Partner Director and Deputy General Manager; becoming an Independent Director of Sinodata Technology Co., Ltd (a Shenzhen Stock Exchange-listed software and service provider) in July 2007; becoming an Independent Director of Xinyu Iron & Steel Group Co., Ltd (a iron and steelmaking company listed at Shanghai Stock Exchange) in February 2008; becoming an Independent Director of Jiangsu Wuzhong Industrial Co., Ltd (a pharmaceutical company listed at Shanghai Stock Exchange) in May 2008. Mr. Wen received his bachelor’s degree in Management Information Systems from Beijing Institute of Technology in July 1993 and his CPA certificate from the Chinese Institute of Certified Public Accountants in December 1995.

Mr. AU Ngai Daniel

Independent Non-executive Director

Mr. Au has more than 20 years of working experiences in the financial investments field. Mr. Au used to work for AT Kearney Inc. and Bankers Trust Company. His main working experiences include: working as Vice President, Director, Managing Director and Partner of Newbridge Capital Limited in the US. During his tenure he completed the only transaction that made a national joint-stock commercial bank controlled by foreign capital in China; he served as Director of Shenzhen Development Bank Co., Ltd (now “Ping An Bank Co., Ltd and a Shenzhen Stock Exchange-listed national joint-stock commercial bank) from December 2004 to December 2007. Starting from April 2006, Mr. Au participated in the creation of China’s first private equity fund-Bohai Industrial Investment Fund and stayed on his CEO post until August 2008. Mr. Au created Star Capital Partners Limited in March 2010 which is specialized in fund management, financing, M&A and financial consulting. Mr. Au received his MBA degree from McGill University in June 1993.
